Paid Accounts (Subscriptions)

Billing: Paid accounts will be billed once you review the offer and agree to it. You can upgrade your account at any time. We'll bill you appropriately for any changes to your plan. You're responsible for all applicable taxes, and we'll charge tax when required to do so.

No Refunds: You may cancel your cpVault.com™ Paid Account at any time but you won't be issued a refund unless it's legally required.

Your Paid Account will remain in effect until it's cancelled or terminated under these Terms. If you don't pay for your Paid Account on time, we reserve the right to suspend it or downgrade Services to a free plan.

Changes: We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.

Cancellation Policy

Cancellation of a business plan will be executed immediately upon request, however no refund will be issued.

Termination

You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services. Except for Paid Accounts, we reserve the right to terminate and delete your account if you haven't accessed our Services for 12 consecutive months. We'll of course provide you with notice via the email address associated with your account before we do so.

Service "AS IS"

We strive to provide great Services, but there are certain things that we can't guarantee; Services cannot be guaranteed to be 100% secure, while cpVault makes every reasonable effort to ensure the security and integrity of Services given enough time and resources it may be possible for a third party to circumvent our security controls.

Resolving Disputes

Judicial forum for disputes: You and CPSDG LIMITED agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought in the courts of the Republic of Ireland. Both you and CPSDG LIMITED consent to venue and personal jurisdiction in such courts.

NO CLASS ACTIONS: You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

Force Majeure

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.

Entire Agreement

These Terms constitute the entire agreement between you and CPSDG LIMITED with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.

Waiver, Severability & Assignment

CPSDG LIMITED’s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. CPSDG LIMITED may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

By accessing Services you consent to these terms and conditions and to the exclusive jurisdiction of the Irish courts in all disputes arising out of such access. When subscribing to cpVault.com™ paid service you may be requested to enter your payment card details. These card details are never held within cpVault’s platform or servers. They are held with our third party card-handling payment processor partner. Our third party payment processor partner is compliant with the global PCI standards for secure handling of payment card information.

All data transmitted to and from our Site and software happens over an encrypted SSL tunnel. cpVault.com™ does not support unencrypted connections.

All data stored in cpVault’s systems is encrypted at least once, with some data items being multiply encrypted, e.g. encrypted data stored on an encrypted hard disk. 

Infrastructure and Hardware Security

Firewalls

CPSDG LIMITED’s computer systems are physically and virtually protected around the clock. CPSDG LIMITED uses the latest, cutting edge firewall technology to ensure our systems are protected from external threats. 

CPSDG LIMITED uses intrusion detection and intrusion prevention systems in order to defend against attacks on our infrastructure. 

Server security and location

CPSDG LIMITED servers are located in European data centres managed by a world renowned web service provider. These servers are protected by 24-hour security, CCTV cameras and a number of other physical controls. They are also backed up to a secondary, fully secured location.

Additional notes on physical security:

  • All vehicle access roads, entrances and server rooms are monitored with video surveillance equipment.
  • A generated password enables on-site personnel to authenticate and issue a transponder key for the interlocking doors to the rack. The visit is logged and the footage recorded is archived in the administration interface for monitoring purposes.
  • The uninterrupted power supply is guaranteed by a 15 minute battery capacity and emergency diesel-generated power. All UPS systems are designed redundantly.
  • Direct free cooling allows for the environmentally friendly cooling of hardware. Climate control is affected via a raised floor system.
  • A modern fire detection system is directly connected to the fire alarm centre of the local fire department.
